Terms of Use

These terms govern your use of FoundersLedger, a product of A Allen Ventures Ltd ("FoundersLedger", "we", "us"), including the website and the application. By creating an account or using FoundersLedger, you agree to these terms. If you don't agree, please don't use the service.

1. What FoundersLedger is — and isn't

FoundersLedger is record-keeping software: it helps you track director's loan account transactions, dividends, statutory registers, bookkeeping and inventory for a UK limited company.

FoundersLedger is not a firm of accountants, tax advisers or solicitors, and nothing in the application constitutes accounting, tax, legal or financial advice.Figures such as the corporation tax estimate are a guide based on the data you enter, not a filing-ready calculation. You remain responsible for the accuracy of your records and for meeting your company's obligations to HMRC and Companies House — we'd recommend involving a qualified accountant, particularly around statutory filings.

2. Who can use it

You must be at least 18, and either a director, officer, employee or duly authorised adviser (such as an accountant or bookkeeper) of the company you're using FoundersLedger for. You're responsible for keeping your login credentials secure and for all activity under your account.

3. Subscriptions and billing

• New companies get a 30-day free trial with full access — no card required.
• Paid plans are billed monthly in advance via Stripe. Prices are shown on our pricing page and may change with reasonable notice before your next renewal.
• You can cancel at any time from the billing section of the app. Cancelling stops future renewals; we don't provide refunds for partial billing periods unless required by law.
• If a payment fails, we'll retry it; if it continues to fail, your subscription may be marked past due and, eventually, canceled.

4. Your data

You own the data you put into FoundersLedger. We process it on your behalf to provide the service, as described in our Privacy Policy. You're responsible for the accuracy and legality of the data you enter, including personal data about officers, shareholders and PSCs — please make sure you have a proper basis to enter their details.

If you invite other users into your company account, you're responsible for the role and permissions you assign them.

5. Acceptable use

Please don't use FoundersLedger to:

• enter data you don't have the right to hold or process;
• attempt to break, probe or circumvent the security of the service;
• resell or provide the service to third parties without our agreement; or
• use it for any unlawful purpose.

6. Intellectual property

FoundersLedger — the software, branding and design — belongs to A Allen Ventures Ltd. These terms don't transfer any of that to you; you get a licence to use the service for your own business while your subscription (or trial) is active.

7. Disclaimers and liability

The service is provided "as is". We work to keep it available and accurate, but we don't guarantee it will be uninterrupted or error-free, and — per section 1 — we don't warrant that any report, estimate or calculation it produces is correct or complete for any statutory, tax or regulatory purpose.

To the extent permitted by law, our total liability to you arising out of your use of FoundersLedger is limited to the amount you paid us in the 12 months before the claim, and we aren't liable for indirect or consequential losses (such as lost profits or lost data). Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.

8. Termination

You can stop using FoundersLedger and cancel your subscription at any time. We may suspend or terminate an account that breaches these terms, doesn't pay outstanding fees, or poses a security risk to the service. Where reasonably possible, we'll give notice first.

9. Changes to these terms

We may update these terms from time to time, and will update the "last updated" date above. Continuing to use FoundersLedger after a change means you accept the updated terms; for material changes, we'll try to tell existing customers directly.

10. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
